Terms of Service for TRIP2U

Thank you for using TRIP2U. These Terms of Service (“Terms”) govern your use of the TRIP2U mobile application (“App”) and related services (collectively, the “Services”) provided by Trip2u Limited, a company registered in New Zealand (“we,” “us,” or “our”). TRIP2U enables travelers to create, sell, and purchase digital travel guides through our platform. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Eligibility
You must be at least 18 years old to use the Services as a seller of travel guides (“Seller”) or to purchase content (“Buyer”). By using the App, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.
2. Account Registration
To sell or purchase travel guides, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep it updated.
You are responsible for safeguarding your account credentials and for all activities under your account.
Notify us immediately at support@trip2u.com if you suspect unauthorized use of your account. We reserve the right to refuse registration or terminate accounts at our discretion.
3. Use of the Services
Permitted Use: The App enables users to create and sell digital travel guides (“Sellers”) and purchase access to those guides (“Buyers”) for personal, non-commercial use.
Prohibited Conduct: You agree not to:
- Use the Services for any illegal or unauthorized purpose.
- Upload or sell content that infringes on third-party rights (e.g., copyright, trademark, privacy).
- Share, resell, or redistribute purchased travel guides outside the App.
- Interfere with the Services (e.g. through hacking, malware, or excessive automated requests).
- Use the Services to harass, defame, or harm others.
4. Selling Travel Guides
Content Creation: Sellers may upload digital travel guides (e.g., text, images, links) to the App. All content must comply with these Terms and applicable laws.
Content Moderation Process: All travel guides are reviewed by TRIP2U before being published on the App. This review process may take up to 24 hours. We reserve the right to reject or request modifications to content that does not meet our guidelines or these Terms.
Content Guidelines: Travel guides must be original works created by you or content you have the legal right to use and sell. Plagiarism or infringement of third-party rights is strictly prohibited. Content must not include illegal, offensive, or misleading material. We reserve the right to remove any content that violates these Terms or is deemed inappropriate in our sole discretion.
Third-Party Links: Sellers may include links to third-party websites or resources in their travel guides. You are responsible for ensuring such links are lawful, functional, and relevant. We are not responsible for the content, availability, or accuracy of third-party sites.
Paywall: Travel guides are locked behind a paywall until purchased by a Buyer. Sellers set the price for their guides, subject to any applicable platform requirements and price tiers.
Ownership and License: You retain ownership and copyright of your travel guides. By uploading content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, display, distribute, and promote your travel guides through the App to facilitate sales and provide the Services.
Content Responsibility: You are solely responsible for the accuracy, legality, and quality of your travel guides. We do not endorse or verify User Content.
5. Purchasing Travel Guides
Payment: Buyers purchase access to travel guides via the App using the in-app purchase systems of the Apple App Store and Google Play Store (collectively, “App Stores”). Payments are processed securely through these platforms, subject to their respective terms, fees, and any applicable sales taxes.
Pricing and Currency Conversion: Prices for travel guides are set by Sellers in U.S. dollars (USD). When purchasing through the App, the USD price will be converted by the App Stores to the Buyer’s local currency during the checkout process. The final amount charged may include additional sales taxes or fees imposed by the App Stores based on the Buyer’s location, which are outside our control.
Access: Upon purchase, Buyers receive a non-transferable, revocable license to view and use the travel guide for personal, non-commercial purposes. Sharing, reselling, or redistributing purchased guides is prohibited.
No Refunds: Due to the digital nature of the content, all purchases are non-refundable unless required by law or specified by the Seller.
6. Fees, Earnings, Payouts and Tax
TRIP2U Service Fee: TRIP2U charges Sellers a 7% service fee from each sale. This fee is deducted from the proceeds amount remitted to us by the Apple App Store and Google Play Store, not from the sale price set by the Seller.
In-App Purchase Fees: TRIP2U processes all travel guide sales through the Apple App Store and Google Play Store in-app purchase systems. The App Stores deduct their own fees which affect the payout amount to Sellers:
- Current Fee: 15% per sale on each platform.
- Potential Fee Increase: Fee rises to 30% once the total annual proceeds on either platform (tracked separately) reach USD $1,000,000. This threshold applies to the app’s overall proceeds, not the overall proceeds of individual Sellers.
- Additional charges, such as sales taxes, may apply based on the Buyer’s location.
- These App Store fees are standard, beyond our control, and subject to change by Apple or Google.Estimated Earnings: Sellers will see 'estimated earnings,' calculated as the sale price minus the applicable App Store fee (15–30%) and our 7% service fee. Payouts may differ slightly depending on the actual amount remitted to us by the Apple App Store and Google Play Store (normally due to changes in the foreign exchange rate by the time of remittance).
Payout Schedule: TRIP2U processes payouts monthly via Stripe once App Store proceeds are remitted to us. Due to App Store payment timelines, payouts are issued 30-60 days after the end of each month. For example, January earnings are paid between March 1-30, and February earnings are paid between April 1-30.
Stripe Payment Processing Fees: Stripe charges a payment processing fee of 0.25% + NZD $0.25 per transaction, deducted from the Seller payout. If currency conversion is required, an additional fee will apply: 1% for US accounts and 2% for non-US accounts.
Tax Responsibility: Sellers are solely responsible for reporting and paying any applicable taxes on their earnings from sales of travel guides. TRIP2U does not withhold taxes or provide tax advice. You should consult a tax professional to ensure compliance with local tax laws.
7. User Content
All travel guides and related materials uploaded by Sellers are “User Content.” You represent that you have all necessary rights to upload and sell your User Content.
We do not claim ownership rights in User Content beyond the license granted in Section 4.
Removal of Travel Guides: You may delete your travel guides, but purchased travel guides will remain accessible to Buyers who have already paid, stored within their accounts.
We may remove User Content at our discretion if it violates these Terms or applicable laws.
8. Intellectual Property
Your IP: Sellers retain ownership and copyright of their travel guides, subject to the license granted to us.
Our IP: The TRIP2U name, logo, App design, and all related software, trademarks, and materials are the intellectual property of Trip2u Limited. You may not use, reproduce, or distribute our IP without prior written consent.
Copyright Policy: If you believe your copyright has been infringed, contact us at support@trip2u.com with details for review. We comply with applicable copyright laws and may remove infringing content.
9. Privacy
Your use of the Services is governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.
10. Third-Party Services
The App integrates with third-party services (e.g., Apple App Store, Google Play Store, Stripe) for payments and functionality. We are not responsible for their availability, performance, or policies.
Apple App Store and Google Play Store Terms: Your use of the App via the Apple App Store or Google Play Store is subject to their respective terms and conditions. Apple and Google are not sponsors, endorsers, or operators of the App and bear no responsibility for it.
11. App Availability, Updates, and Maintenance
We strive to keep the App available but may experience outages or maintenance that temporarily disrupt access. We are not liable for any inconvenience or loss caused by such events.
We may update the App periodically, and you may need to install updates to continue using the Services.
12. Interactions with Other Users
The App enables messaging and interactions between users. You are responsible for your conduct and content in these interactions.
We are not responsible for disputes, misconduct, or harm arising from user interactions. To report misconduct, contact support@trip2u.com.
13. Termination
We may suspend or terminate your account or access to the Services, with or without notice, for violating these Terms, suspected illegal activity, or any reason at our sole discretion.
Upon termination, your right to use the Services ends, but purchased travel guides remain accessible to Buyers in their accounts.
14. Disclaimers and Warranties
The Services are provided “as is” and “as available” without warranties of any kind, express or implied (e.g., merchantability, fitness for a particular purpose).
We do not guarantee the accuracy, completeness, or usefulness of travel guides or the availability of the Services at all times.
15. Limitation of Liability
To the fullest extent permitted by law, Trip2u Limited will not be liable for any indirect, incidental, or consequential damages arising from your use of the Services, including reliance on travel guides or App outages.
16. Indemnity
You agree to indemnify and hold Trip2u Limited harmless from any claims, damages, or losses (including legal fees) arising from your use of the Services, your User Content, or your violation of these Terms or applicable laws.
17. Changes to These Terms
We may update these Terms as needed. Significant changes will be communicated via the App or email. Continued use after changes take effect constitutes acceptance.
18. Governing Law
These Terms are governed by the laws of New Zealand, without regard to conflict of law principles.
